Agreement and scope
These terms define the legal relationship between you and Payvra when you access or use Payvra.
These Terms and Conditions ("Terms") outline the agreement between you and the Payvra service ("Service"), which is managed by Payvra ("us", "we", or "our").
Please review these Terms thoroughly before using the Service. Your use of the Service is subject to your acceptance and adherence to these Terms, and they apply to all users, visitors, and others who access or use it.
By accessing or using the Service, you agree to comply with these Terms. If you do not agree with any part of these Terms, you may not use the Service.
Billing and subscriptions
Paid plans renew automatically unless you cancel them before the current billing cycle ends.
Certain features of the Service are available through a subscription model ("Subscription(s)"). Subscriptions are billed in advance on a recurring monthly basis ("Billing Cycle").
At the conclusion of each Billing Cycle, your Subscription will automatically renew under the same terms unless you cancel it or Payvra does so. You can cancel renewal via your account management page or by contacting our support team.
To process a Subscription payment, a valid payment method such as a credit card is required. You must provide accurate and complete billing details, including your full name, address, state, zip code, phone number, and valid payment information. By submitting that information, you authorize Payvra to charge all Subscription fees to your chosen payment method.
If automatic billing is unsuccessful for any reason, Payvra will send you an electronic invoice, and you must complete the payment manually by the specified deadline for the relevant billing period.
Fee adjustments and refunds
Payvra reserves the right to change Subscription fees at any time and at its sole discretion. Any change takes effect at the end of the current Billing Cycle, and we will give reasonable advance notice so you can cancel before the new fees apply.
If you continue to use the Service after updated fees become effective, you agree to pay the updated amount. Refund requests for Subscriptions may be reviewed by Payvra on a case-by-case basis and may be granted at our sole discretion.
Account responsibilities
You are responsible for accurate account details, credential security, and acceptable use of the platform.
When creating an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your account.
You are responsible for maintaining the confidentiality of your password, API keys, webhook signing secrets, and any other credentials, and for all activities that occur under your account or credentials, whether with our Service or a third-party service. You agree not to share credentials with any third party and must notify us immediately if you become aware of any security breach or unauthorized use of your account.
You agree not to use the Service to facilitate, conceal, or knowingly process funds tied to fraud, money laundering, terrorist financing, sanctions evasion, or other unlawful activity, and to comply with applicable laws and any compliance reviews Payvra conducts in connection with the Service.
Platform rights and third parties
This section covers ownership of the platform, protection of our intellectual property, and the limits of responsibility for linked services.
Intellectual property
The Service and its original content, features, and functionality are and will remain the exclusive property of Payvra and its licensors. The Service is protected by copyright, trademark, and other laws of Sweden and other countries. Our trademarks and trade dress may not be used without prior written consent from Payvra.
If you believe material on our public site, dashboard, or documentation infringes a copyright or other intellectual property right you hold, please notify us at legal@payvra.com with a detailed description of the alleged infringement so we can investigate.
External links and third-party services
The Service may include links to third-party websites or services that are not owned or controlled by Payvra. We assume no responsibility for the content, privacy policies, or practices of any such third-party services, and we strongly recommend that you review their terms and privacy policies before using them.
Termination and liability
These terms explain when access can be suspended and what limits apply to damages or warranties.
We may terminate or suspend your account immediately, without notice or liability, for any reason, including if you violate these Terms. Upon termination, your right to use the Service will end immediately. If you wish to close your account, you may simply stop using the Service.
In no event will Payvra, or its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the Service, any third-party services or external links accessible through the Service, network conditions or blockchain confirmation delays outside our control, or unauthorized access, use, or alteration of your transmissions.
Your use of the Service is at your own risk. The Service is provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Payvra, its subsidiaries, affiliates, and licensors do not guarantee that the Service will function uninterrupted, securely, or be available at any specific time or location; that errors or defects will be corrected; that the Service is free of viruses or other harmful components; or that the results of using the Service will meet your expectations.
Governing law and updates
Swedish law governs these terms, and material revisions are announced before they take effect.
These Terms are governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law rules. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions will remain in effect. These Terms constitute the entire agreement between us regarding the Service and supersede any prior agreements we may have had regarding it.
We reserve the right, at our sole discretion, to update or replace these Terms at any time. If a revision is significant, we will try to provide at least 30 days' notice before new terms take effect. By continuing to access or use our Service after those changes become effective, you agree to be bound by the revised terms.
